Terms of Service

Fandom Track — operated by Unimorphic Inc.

Effective Date: 2026-10-10

These Terms of Service (“Terms”) are a legal agreement between you and Unimorphic Inc. (“Unimorphic,” “we,” “us,” or “our”), a corporation existing under the laws of Canada, and govern your access to and use of the Fandom Track website and related services (collectively, the “Service”). Our registered office is located at 350-390 Baseline Road Suite 1012, Sherwood Park AB, Canada.

  • “Account” means the registered user profile through which you access the Service.
  • “Content” means all text, data, graphics, software, and other materials made available through the Service, other than User Content.
  • “User Content” means any content you and other users submit, post, upload, or otherwise make available through the Service.
  • “Subscription Plan” means one of the usage tiers of the Service described in Section 4: Free, Basic, and Pro.
  • “Minor” means an individual who has not yet reached the age of majority in their place of residence (18 or 19, depending on the Canadian province, or the applicable age elsewhere).
  • “Parent” means a parent or legal guardian with authority to consent on a Minor’s behalf.

You must be at least 13 years old to create an Account or use the Service. We do not knowingly permit anyone under 13 to use the Service. If we learn that a user is under 13, we will suspend the Account and delete the associated personal information as described in our Privacy Policy.

2.2 Users between 13 and the age of majority

Section titled “2.2 Users between 13 and the age of majority”

If you are a Minor between the age of 13 and the age of majority in your place of residence, you may only create an Account and use the Service with the involvement and consent of a Parent, as follows:

  • A Parent must review these Terms and our Privacy Policy and provide consent by submitting the required consent form before the Minor’s Account is activated;
  • The Parent is a party to these Terms alongside the Minor, remains responsible for the Minor’s compliance with these Terms, and is responsible for all charges incurred on any paid Subscription Plan associated with the Minor’s Account; and
  • The Parent may, at any time, review, manage, or request deletion of the Minor’s Account and personal information by contacting us as set out in Section 17.

If you are at or above the age of majority in your place of residence, you may accept these Terms on your own behalf.

Nothing in this Section overrides any additional or stricter age or consent requirement imposed by applicable law in your place of residence; where such a law imposes a higher age of consent or additional formality, that requirement governs.

You are responsible for maintaining the confidentiality of your Account credentials and for all activity that occurs under your Account. Notify us promptly at contact@unimorphic.ca if you suspect unauthorized use.

The Service is offered under a free tier and the following paid Subscription Plans: Basic and Pro. Current features and pricing for each plan are described on the Service and may be updated from time to time in accordance with Section 4.5.

Paid Subscription Plans are billed in advance on a recurring annual basis and automatically renew for successive terms of the same length unless cancelled before the renewal date. We will send a renewal reminder to the email address on your Account 7 days before each renewal, or as otherwise required by the consumer protection law of your province.

You may cancel a paid Subscription Plan at any time through your Account settings. Cancellation takes effect at the end of the current billing period; you keep access until then and won’t be charged again.

Except where required by applicable law, fees already paid are non-refundable, including where you cancel partway through a billing period. Where we terminate your paid Subscription Plan without cause under Section 13.2, we will refund the unused, pro-rated portion of fees already paid for the then-current billing period.

We may change the features, benefits, or pricing of a Subscription Plan. For existing subscribers, a price increase or material reduction in benefits will not take effect until your next renewal date, and we will give you at least 30 days’ notice by email beforehand so you can cancel before the change applies.

Fees are exclusive of applicable taxes (such as GST/HST/PST) unless stated otherwise, and such taxes will be added at checkout where required.

5. Your Content, Privacy Settings, and Sharing

Section titled “5. Your Content, Privacy Settings, and Sharing”

Content you create on the Service (for example, fandom-tracking entries and related data) is private by default and visible only to you, unless and until you choose to share it.

The Service allows you to voluntarily make specific User Content visible to other users or, where you choose, publicly, through in-Service sharing controls. Once you share User Content, it may be viewed, and in some cases copied or redistributed, by the people or audience you shared it with, and we cannot guarantee its removal from their possession even if you later unshare it or delete your Account. You can manage or revoke sharing at any time through your Account settings for future visibility, subject to the foregoing.

As between you and us, you retain ownership of your User Content.

By submitting User Content, you grant Unimorphic a non-exclusive, royalty-free, sublicensable, worldwide license to host, store, reproduce, and display your User Content solely for the purpose of operating, maintaining, and improving the Service, including displaying shared Content to the audience you designate under Section 5.2. This license ends when you delete the applicable User Content or your Account, except (a) to the extent it has been shared with and retained by other users in accordance with Section 5.2, and (b) for copies retained temporarily in backups or as required by law.

You agree not to:

  • copy, prepare derivative works of, decompile, or reverse engineer any software or materials comprising the Service, except to the extent applicable law prohibits this restriction;
  • remove copyright or other proprietary notices from the Service;
  • interfere with, disrupt, or place an unreasonable load on the Service;
  • post or transmit unlawful, harassing, defamatory, or fraudulent material;
  • infringe the intellectual property, privacy, or other rights of third parties;
  • misrepresent your age or, if you are a Parent, misrepresent your relationship to a Minor user; or
  • attempt to circumvent any access, security, or usage restriction of the Service.

Except for User Content, the Service and all software, trademarks, logos, and other materials made available through it are owned by Unimorphic or our licensors and are protected by applicable intellectual property laws. No rights are granted to you except as expressly set out in these Terms.

The Service may link to third-party websites or services that we do not operate or control. We are not responsible for their content or practices, and these Terms and our Privacy Policy do not apply to them.

To the maximum extent permitted by applicable law, the Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Nothing in this Section excludes or limits any warranty that cannot lawfully be excluded in your jurisdiction.

11.1 To the maximum extent permitted by applicable law, Unimorphic’s aggregate liability arising out of or relating to these Terms or the Service will not exceed the greater of (a) the total fees you paid to us in the 12 months preceding the event giving rise to the claim, or (b) CAD $100.

11.2 Nothing in this Section limits or excludes liability for: (a) gross negligence or willful misconduct; (b) death or personal injury caused by our negligence; (c) fraud or fraudulent misrepresentation; or (d) any other liability that cannot be limited or excluded under applicable law.

11.3 Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions, our liability is limited to the maximum extent permitted by law.

You agree to indemnify and hold Unimorphic harmless from third-party claims arising from your breach of these Terms or your User Content, except to the extent caused by our own breach, negligence, or willful misconduct.

13.1 By you. You may stop using the Service and delete your Account at any time.

13.2 By us. We may suspend or terminate your Account (a) for a material breach of these Terms that you do not cure within 10 days of notice where curable, or immediately for serious breaches (including safety concerns involving a Minor’s Account); or (b) without cause, on at least 30 days’ notice, in which case Section 4.4 governs any refund owed to you.

13.3 Effect of termination. On termination, your right to use the Service ends; provisions of these Terms that by their nature should survive (including Sections 6, 8, 10, 11, 12, and 15) will survive.

We may update these Terms from time to time. If a change is material — including a change that affects your price, cancellation rights, or liability under these Terms — we will notify you (by email or in-Service notice) at least 30 days before it takes effect. Your continued use of the Service after a change takes effect constitutes acceptance; if you do not agree, you may cancel your Account before the change takes effect.

15.1 These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.

15.2 You and Unimorphic agree to attempt in good faith to resolve any dispute informally by contacting us as set out in Section 17 before commencing formal proceedings.

15.3 Subject to Section 15.4, the parties attorn to the exclusive jurisdiction of the courts of Alberta.

15.4 Nothing in this Section restricts any right you have as a consumer to bring proceedings in, or limits the application of, the mandatory consumer protection laws of your province or territory of Canada, or your country of residence, where those laws entitle you to a different forum or additional protections that cannot be waived by contract (including, for residents of Quebec, protections under the Consumer Protection Act (Quebec) and the Charter of the French Language).

16.1 Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.

16.2 Entire agreement. These Terms and our Privacy Policy constitute the entire agreement between you and Unimorphic regarding the Service, superseding prior agreements on the subject.

16.3 Assignment. You may not assign these Terms without our consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets.

16.4 Notices. We may provide notices to you by email or through the Service. You may provide notices to us at the contact information in Section 17.

16.5 Force majeure. Neither party is liable for delay or failure to perform caused by events beyond its reasonable control.

16.6 Language. These Terms, our Privacy Policy, and related consumer-facing documents are available in both English and French. If you are a Quebec resident the French version remains the version of reference in the event of any inconsistency between the two versions. For users located outside Quebec, the English version governs unless another language version is expressly agreed.

Langue.
